PROPOSED ACQUISITION BY AIR PRODUCTS AND CHEMICALS INC
OF DEVILBISS MEDEQUIP LIMITED

REFERENCE LAID ASIDE

The Monopolies and Mergers Commission have today laid
aside the reference concerning the proposed acquisition
by Air Products and Chemicals Inc of DeVilbiss Medequip
Limited.  This reference was made on 2 February 1999
by Dr Kim Howells, Competition and Consumer Affairs
Minister, DTI.

It appears to the MMC, on the basis of information
received from the companies concerned, that the proposal
to make the arrangements identified in the terms of
reference has been abandoned.  Accordingly the Commission
have, with the Secretary of State's consent, laid the
reference aside.

1. The reference was made by Dr Kim Howells, acting on
behalf of the Secretary of State for Trade and Industry,
on 2 February 1999 (see DTI press notice P/99/93 and MMC
press notice 3/ 99, dated 2 February 1999).  It has been
laid aside in accordance with the provisions of section
75(5) of the Fair Trading Act 1973.
