Item 2.02 Results of Operations and Financial Condition.

On March 12, 2009, Digital Angel Corporation (the “Company”) issued a press release regarding its preliminary financial results for the year ended of 2008 and hosted the conference call it previously announced on March 5, 2009. Supporting materials that were discussed on the call will be provided on the Company’s website.

A copy of the press release is attached hereto as Exhibit 99.1, which is being furnished and shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.
