Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 30, 2023, Newton W. Dorsett informed SMG Industries Inc. (the “Company”) of his resignation from the Company’s Board of Directors, effective immediately. Mr. Dorsett indicated to the Company that his resignation was not the result of any disagreement related to the operations, policies or practices of the Company.
