The delay occurred due to requests to add a Definitive Acquisition Agreement (DAA) and Operating Budget, requiring multiple approvals. The merger was changed to incorporate IJJ Corporation as a Sub-Partner Agreement, also reflected in the DAA, while funding for the Promissory Note is separate.
