Seven companies, including for-profit hospital operator HCA
Holdings Inc. (HCA) and financial-services company Primerica Inc.
(PRI), unveiled share offerings after hours.
HCA Holdings said its biggest shareholders are offering around
50 million shares. After the sale, Hercules Holding--held by
investors affiliated with Bain Capital Partners LLC, Kohlberg
Kravis Roberts & Co. and HCA founder Thomas F. Frist Jr.--will
own roughly a 39% stake, down from the 51% it currently owns. The
company, which won't receive any proceeds from the offering, had
around 443.6 million shares outstanding as of Jan. 31. Shares fell
1.6% to $36.07 after hours.
Primerica said Warburg Pincus LLC, its biggest shareholder,
plans to sell 2.5 million shares. After the offering, the private
equity firm will own a roughly 4.4% stake in Primerica, which
recently had around 57.6 million shares outstanding. Shares were
off three cents to $33.28 after hours.
DryShips Inc. (DRYS) is offering 5 million shares in its
subsidiary Ocean Rig UDW Inc. (ORIG), which provides offshore
drilling services. Ocean Rig won't receive any proceeds from the
offering. After the offering, DryShips is expected to own around
61% of Ocean Rig's roughly 131.7 million outstanding shares. Ocean
Rig shares fell 4.6% to $16.75 in after-hours trading.
Kosmos Energy Ltd. (KOS) said some of its biggest shareholders
and officers, including Warburg Pincus and Blackstone Group L.P.
(BX) funds, are offering 30 million shares. The oil and gas company
won't receive any proceeds from the offering. Kosmos had around
388.7 million shares outstanding as of Dec. 31. Shares fell 2.8%
after hours to $12.39.
American Capital Mortgage Investment Corp. (MTGE) plans to offer
18 million shares, expecting to use the proceeds to buy mortgage
investments. The real-estate investment trust had around 35.9
million shares outstanding as of Feb. 8. Shares fell 2.5% to $25.90
in after-hours trading.
Newcastle Investment Corp. (NCT) plans to offer 20 million
shares as it raises funds for real-estate securities, residential
loans, mortgage-servicing rights or other investments. The
real-estate investment trust had around 175 million shares
outstanding as of Dec. 31. Shares fell 1.4% to $10.60 in
after-hours trading.
Team Health Holding Inc. (TMH) said its primary shareholder,
Blackstone affiliate Ensemble Parent LLC, is offering its entire
stake of 9.6 million shares. TeamHealth officers and directors are
also selling 44,117 shares. The doctor-staffing company recently
had around 68 million shares outstanding. Team Health shares were
off 24 cents to $33.70 after hours.
