Item 2.02. Results of Operations and Financial Condition.

On August 2, 2019 , Och-Ziff Capital Management Group Inc. (the “Company”) reported its financial results for the quarter ended June 30, 2019 . A copy of the Company’s earnings release is attached as Exhibit 99.1 and is incorporated herein by reference.

The Company is making references to non-GAAP financial information in the earnings release and will also make references to non-GAAP financial information on the conference call the Company is hosting on August 2, 2019 , to discuss its financial results for the quarter ended June 30, 2019 . Reconciliations of these non-GAAP financial measures to the most comparable GAAP financial measures are contained in the earnings release. These non-GAAP financial measures should be considered in addition to and not as a substitute for, or superior to, financial measures presented in accordance with GAAP.

Item 8.01. Other Events.

On August 2, 2019 , the Company announced that its Board of Directors declared a dividend for the second quarter of 2019 of $0.32 per Class A share. The dividend is payable on August 21, 2019 , to holders of record as of the close of business on August 14, 2019 .
