Explanation of Responses:

1. Represents a transfer by Jefferies Credit Partners LLC ("Credit Partners") of 264,690 shares of common stock of the Issuer to an unaffiliated shareholder in connection with such shareholder's investment in the Issuer. No consideration was paid to Credit Partners in connection with such transfer.

2. Reflects securities directly owned by Credit Partners. Credit Partners is wholly-owned by Jefferies Finance LLC ("Finance"), a Delaware limited liability company, and a registered investment adviser under the Advisers Act.

3. Reflects securities directly owned by Finance. Finance is wholly-owned by JFIN Parent LLC, which is a joint venture between (i) Jefferies Financial Group Inc., a publicly traded company and (ii) Massachusetts Mutual Life Insurance Company, a Massachusetts domiciled life insurance company.

4. Each of the Reporting Persons (other than to the extent it directly holds securities reported herein) disclaims beneficial ownership of the securities held by the other Reporting Persons, except to the extent of such Reporting Person's pecuniary interest therein, and, pursuant to Rule 16a-1(a)(4) under the Securities Exchange Act of 1934, each of the Reporting Persons (other than to the extent it directly holds securities reported herein) states that the inclusion of these securities in this report shall not be deemed an admission of beneficial ownership of all of the reported securities for purposes of Section 16 or for any other purpose.
