Other Events.

On March 25, 2021, Carvana Co. (the “Company”) issued a press release announcing the proposed offering of $500.0 million aggregate principal amount of senior notes due 2027 (the “Notes”) in a private placement (the “Offering”) to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and to non-U.S. persons in accordance with Regulation S under the Securities Act. A copy of the press release announcing the Offering is attached hereto as Exhibit 99.1 and incorporated herein by reference.
