Explanation of Responses:
(1)  Represents a pro rata distribution of shares of Common Stock from the Trust under the Will of Maurice R. Robinson (the "Maurice R. Robinson Trust"). The Reporting Person is one of six trustees of the Maurice R. Robinson Trust with shared voting and investment power with respect to the shares owned by the Trust and, accordingly, the Reporting Person has included all such shares in his Section 16 reports. The Maurice R. Robinson Trust, upon the determination of the single trustee who is not a trust beneficiary, distributed an aggregate of 500,000 shares of Common Stock. The Reporting Person received 100,000 shares in the distribution, resulting in a change in form of beneficial ownership of such 100,000 shares from indirect to direct and the disposition of the 400,000 shares distributed to other beneficiaries.
