PowerFleet,
Inc. (the “Company”) was not able to file its Quarterly Report on Form 10-Q for its quarter ended June 30, 2023 (the “Form
10-Q”) by August 9, 2023, the original due date for such filing, without unreasonable effort or expense, due to delays in compiling
and reviewing certain information included in the Form 10-Q resulting primarily from additional time required for the Company to complete
the financial statement close process. The Company has filed the Form 10-Q on August 10, 2023.

The
Company expects to report revenue of approximately $32.1 million and $64.9 million for the three and six months ended June 30, 2023,
respectively, compared to revenue of $34.6 million and $67.8 million for the three and six months ended June 30, 2022, respectively.
The Company expects to report gross profit for the three months ended June 30, 2023 of approximately $16.0 million, or 50.0% of total
revenue, compared to gross profit of $16.2 million, or 46.9% of total revenue, for the three months ended June 30, 2022. The Company
expects to report gross profit for the six months ended June 30, 2023 of approximately $32.7 million, or 50.3% of total revenue, compared
to gross profit of $30.6 million, or 45.2% of total revenue, for the six months ended June 30, 2022. The Company expects to report net
loss attributable to common stockholders for the three months ended June 30, 2023 of approximately $(4.3) million, or $(0.12) per basic
and diluted share, compared to net loss attributable to common stockholders of $(1.3) million, or $(0.04) per basic and diluted share,
for the three months ended June 30, 2022. The Company expects to report net loss attributable to common stockholders, inclusive of a
$7.5 million gain on bargain purchase for Movingdots GmbH, for the six months ended June 30, 2023 of approximately $(0.8) million, or
$0.01 per basic and diluted share, compared to net loss attributable to common stockholders of $(5.5) million, or $(0.15) per basic and
diluted share, for the six months ended June 30, 2022.
