Business Wire
Former United States Securities and Exchange Commission attorney
Willie Briscoe and the securities litigation firm of Powers Taylor,
LLP are investigating the sale of Caribou Coffee Company, Inc.
(“Caribou”) (Nasdaq: CBOU) to Joh. A. Benckiser Group for
shareholders. Under the terms of the proposed deal valued at
approximately $324.8 million, Caribou shareholders will only
receive $16.00 in cash for each share of Caribou stock owned, well
below at least one analyst’s estimated value of $20.00.

The Caribou sale investigation centers on whether Caribou’s
shareholders are receiving adequate compensation for their shares
in the buyout, whether the transaction undervalues Caribou’s stock,
and whether Caribou’s board attempted to obtain the highest share
price for all shareholders prior to agreeing to the deal. Notably,
according to at least one analyst with Yahoo! Finance, the true
inherent value of the stock could be as high as $20.00 per share.
Shareholder rights attorney Willie Briscoe stated that “due to the
proposed sale price, the size of the deal and other factors, we
believe that this transaction may undervalue Caribou’s stock. Our
lawsuit will seek to obtain the highest share price for all
shareholders.”
