Submission of Matters to a Vote of Security Holders

The Company held its Annual Meeting of Stockholders on May 13, 2010. The results of the proposals voted on by our stockholders at the Annual Meeting were as follows:

1. Election of Directors

The two nominees who received the highest number of votes (all of the above individuals) were elected to the Board of Directors to hold office for a three-year term and until their respective successors are elected and qualified.

2. Ratification of the appointment of BDO Seidman, LLP as the Company’s independent registered public accounting firm for the year ending December 31, 2010.
