ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On June 21, 2019, Alliance Resource Partners, L.P. ("ARLP") entered into a definitive agreement to acquire oil and gas mineral interests from Wing Resources LLC and Wing Resources II LLC for a cash purchase price of $145.0 million, which will be funded with cash on hand and borrowings under ARLP's credit facility. Upon closing, the transaction will increase ARLP’s presence in the Permian Basin through the addition of approximately 9,000 net royalty acres in the Midland Basin, with exposure to more than 400,000 gross acres. Subject to customary closing conditions, the parties expect to close the transaction in early August 2019.

On June 24, 2019, ARLP issued a press release announcing the entry into the agreement described above. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
