Submission of Matters to a Vote of Security Holders.

Takung Art Co., Ltd., a Delaware corporation (the “Company”) held its annual meeting of shareholders for its fiscal year ended December 31, 2019 at 8:00 p.m., December 9, 2020, E.T. (9:00 a.m., December 10, 2020, local time) at its principal executive offices in Hong Kong. Holders of 6,408,523 shares of the Company's common stock were present in person or by proxy at the annual meeting, representing 56.85% of the total 11,271,379 outstanding shares of the common stock and therefore constituting a quorum of more than a majority of the shares outstanding and entitled to vote at the annual meeting as of the record date of October 28, 2020. The final voting results for each matter submitted to a vote of shareholders at the meeting are as follows:
