Item 2.02. Results of Operations and Financial Condition.

On January 26, 2021, Everi Holdings Inc. (the “Company”) issued a press release that included, among other things, information regarding preliminary results for the fourth quarter and full year ended December 31, 2020. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Item 7.01. Regulation FD Disclosure.

On January 26, 2021, the Company issued a press release that announced its intention to commence a proposed repricing of its $735.5 million outstanding balance of the senior secured term loan under the existing Credit Agreement, dated May 9, 2017, as amended, that matures in 2024. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
