Regulation FD Disclosure.

On December 30, 2020, UGI Corporation (the “Company”) issued a press release announcing the execution of definitive documentation to acquire Mountaintop Energy Holdings LLC, a Delaware limited liability company. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Item 7.01 by reference.
