Appointment of J. Rodney Varner as President
Effective as of August 10, 2020, the Board of Directors (the “Board”) of Genprex, Inc. (“we,” “us” or the “Company”) appointed J. Rodney Varner President of the Company, in addition to his current roles as Chief Executive Officer and Secretary of the Company and as a member of the Board and as Chairman of the Board.
Mr. Varner, 63, is a co-founder of Genprex and has served as our Chief Executive Officer and Secretary, and as a member of our Board and as Chairman of our Board since August 2012. Mr. Varner also served as our President from August 2012 until April 10, 2018. From April 10, 2018 until April 27, 2020, Julien L. Pham, MD, MPH served as our President.
Information regarding Mr. Varner’s background, business experience and any related party transactions appears in the Company’s Definitive Proxy Statement on Schedule 14A, filed with the Securities and Exchange Commission on April 29, 2020 under the headings “Nominees for Election for a Three-Year Term Expiring at the 2023 Annual Meeting” and “Related Party Transactions,” which information is incorporated herein by reference. There are no family relationships between Mr. Varner and any of the Company’s current or former directors or executive officers.
