| (1) | As reported on its Current Report on Form 8-K filed with the Securities and Exchange Commission on October 13, 2017, ECard Inc. (the "Company") entered into a Stock Purchase Agreement (the "SPA") with Eastone Equities, LLC and certain selling stockholders on October 5, 2017. Upon closing of the transaction contemplated by the SPA on October 9, 2017, the Reporting Person was named Chief Executive Officer, President and the Chairman of the Company's Board of Directors. On June 3, 2020, the Company entered into a transaction whereby the Reporting Person contributed all of the issued and outstanding capital stock of a newly formed Delaware entity, EMall Inc., to the Company in exchange for 1,000 shares of the Company's common stock, par value $0.0001 per share. On June 18, 2020, such 1,000 shares of the Company's common stock were issued to the Reporting Person. |
