Item 1.01 Entry Into A Material Definitive
Agreement.
On February 20, 2020, the
Company executed an agreement with Nostrum Laboratories Inc. (“Nostrum”) pursuant to which the Company will sell to
Nostrum all of its rights in and to the Company’s approved abbreviated new drug applications (ANDAs) for its generic Dolophine®
(methadone hydrochloride tablets, 5 mg and 10 mg) and generic Bontril PDM® (phendimetrazine tartrate tablet, 35 mg) for $600,000
in cash. The sale has been consummated.
