Offering of Senior Notes

On February 10, 2020, the Company issued a press release announcing its intention to offer, subject to market and other conditions, $475 million aggregate principal amount of senior notes due 2028 through an offering registered with the SEC under the Securities Act of 1933. A copy of the news release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
