10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Live Ventures Incorporated (the “Company”) is unable
to file, without unreasonable effort and expense, its Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2018
(the “Form 10-Q”). The Company requires additional time to finalize its financial statements to be filed as part of
the Form 10-Q. The delay is principally due to both the Company and the Company’s independent registered public accounting
firm’s continued exchange of information in connection with the review of the Company’s financial statements. The
Company currently expects to file the Form 10-Q on or before May 21, 2018, the prescribed due date under the fifth calendar day
extension period provided under Rule 12b-25.

On May 14, 2018, the Company issued a press release announcing
financial results for second fiscal quarter 2018. The Company’s results for this quarter includes those of ApplianceSmart,
which was acquired in the first fiscal quarter. The Company reported total assets of $137.3 million and stockholders’ equity
of $37.1 million as of the end of the fiscal quarter. In addition, the Company reported revenues of $52.2 million, gross profit
of $19.7 million, and basic earnings per share of $0.98.
