Units of limited liability company interest in Station Holdco LLC ("LLC Units"), together with a corresponding number of shares of Class B Common Stock, may be exchanged by the holder thereof at any time and from time to time for an equal number of shares of the Issuer's Class A Common Stock or, at the election of the Issuer, cash. The purchase price represents the consideration paid for each LLC Unit and share of Class B Common Stock, which were purchased as a unit to facilitate the future exchange of the LLC Units for shares of the Issuer's Class A Common Stock. The LLC Units have no expiration date.
