Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.
Effective May 1, 2017, Kalyan Seshan, Chief Risk Officer of Santander Consumer USA
Holdings Inc. (the Company), has assumed different responsibilities within the Company and will no longer serve as Chief Risk Officer. Mr. Seshan will remain with the Company as special advisor on regulatory matters through October
of this year at which time he will move to Santander Bank, N.A. where he will assume leadership of the OpenBank project. OpenBank is a global investment initiative designed to test new technology-enabled product and service concepts in retail
banking.
Item 8.01 Other Events.
Dale Cochran
was appointed Chief Risk Officer of the Company, effective May 1, 2017, filling the vacancy left by Mr. Seshan. Mr. Cochran is an experienced risk management executive with more than 25 years of banking and financial services
experience. Mr. Cochran previously served as Chief Risk Officer at United Services Automobile Association Bank and Chief Risk Officer at General Electric Capital Global Banking. He also held Risk leadership positions for Citigroup, Transamerica
Distribution Finance, Corus Bankshares and Household International/HSBC.
