State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report portion thereof, could not be filed within the prescribed time period.

The Registrant is unable to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2016, within the prescribed time period because the Registrant has not been able to obtain and assimilate all information required to complete its accounting and audit for the year. Accordingly, the Registrant has not been able to complete its financial statements and other required disclosures to its Form 10-K.

The Registrant expects to report revenues for the year ended December 31, 2016 of approximately $5.7 million as compared to $10.2 million for the year ended December 31, 2015. The Registrant expects to report an operating income loss for the year ended December 31, 2016 of approximately $11.9 million as compared to $67.2 million for the year ended December 31, 2015 and a net loss of approximately $14.3 million for the year ended December 31, 2016 as compared to a net loss of $92.8 million for the year ended December 31, 2015. The primary reasons for the significant changes in revenue, operating income and net loss relates to, among other factors; (i) a greater than 42% reduction in the Company’s oil production, a 13% decrease in gas production and a 13% reduction in the realized price for oil which resulted in lower revenues and impairment charges for the Company’s oil and gas properties of approximately $9.5 million; (ii) a significant reduction in the Company’s operations and a reduction in oil and gas production costs of $4.6 million from December 31, 2015 to December 31, 2016; and (iii) discontinued operations from the disposition of our mining properties in February 2016 which resulted in impairment charges of $0.4 million.
