RAI Long-Term Incentive Program Design–BAT Change of Control

Impact of BAT Change of Control on the 2017 LTI Grant

The 2017 RAI Long-Term Incentive Program (2017 LTI) includes provisions relative to the impact of the Agreement and Plan of Merger among British American Tobacco p.l.c. (“BAT”), BATUS Holdings, Inc., Flight Acquisition Corporation and Reynolds American Inc., dated as of January 16, 2017 (the “Merger Agreement”), and the consummation of the transactions contemplated by the Merger Agreement (the “BAT Change of Control”).

In the event of the BAT Change of Control, the 2017 LTI will be considered assumed and the terms of the 2017 LTI will continue unchanged, except that the 2017 LTI target award will be adjusted as provided in Section 6.05(c) of the Merger Agreement so that each Performance Share granted under the 2017 LTI is converted into a target number of BAT equity securities rather than RAI Shares, as described below.

Conversion of RAI Performance Shares to BAT ADS Performance Shares

Upon the occurrence of the BAT Change of Control, the Performance Shares, originally awarded as phantom RAI Shares, will be converted to phantom American Depositary Shares (ADS) of BAT. BTI is the current ticker symbol for the ADS on the New York Stock Exchange MKT. The ADS will be listed on the New York Stock Exchange at or before the consummation of the merger. As of February 14, 2017, one ADS represents one BAT share.

The target number of RAI Performance Shares will be multiplied by the RSU Exchange Ratio in order to determine the corresponding target number of ADS Performance Shares. The RSU Exchange Ratio is designed to convert the 2017 LTI in a manner that provides the same value to the Grantee (measured in BAT ADSs) as the value an RAI shareholder will receive for that person’s shares (in a combination of BAT ADSs and cash) upon the BAT Change of Control.

RSU Exchange Ratio: .5260 + ($29.44 / closing ADS price on last trading day before the BAT Change of Control closing date)

Example of Share Conversion for 2017 LTI Grant

 

    Assume 100 RAI Performance Shares initially granted in 2017 LTI

 

    Assume ADS closing stock price the day before the closing date of the BAT Change of Control is $60.00

Terms of 2017 LTI Grant Following BAT Change of Control

 

    The three-year cumulative RAI minimum dividend requirement over the 3-year performance period will no longer apply.

 

    The 2017 LTI grant normal vesting date remains March 1, 2020.

 

    The 2017 LTI will be scored based on actual results over the entire 3-year performance period.

 

    Standard Change of Control vesting provisions apply for terminations of employment following the BAT Change of Control, except in the event of a retirement the 2017 LTI will vest in a pro rata portion of the award based on actual performance over the entire 3-year period and will be paid at the end of the performance period.
