Explanatory Note

Meridian Waste Solutions, Inc. (the “Company”) hereby files this current report on Form 8-K/A ( “Amendment No. 1”) to amend the original Form 8-K filed with the Securities and Exchange Commission on February 21, 2017 (the “Original Form 8-K”), for the sole purpose of replacing information provided in Exhibit 99.1 to the Original Form 8-K. Exhibit 99.1 filed herewith supersedes in its entirety Exhibit 99.1 previously filed with the Original Form 8-K.

The Company has prepared presentation materials (the “Investor Presentation”) that management intends to present in February and March of 2017 in meetings with existing shareholders of the Company, potential investors of the Company, and the investment community about the Company’s operations and performance.
