Explanation of Responses:
( 1)  The shares of Common Stock were issued to the reporting person in respect of an extraordinary issuance due to the Issuer's restructure.
( 2)  The reporting person received these options in connection with his appointment as Chief Restructuring Officer of the Issuer. The options vest in three equal installments. The first installment vests on December 16, 2016 (the "Effective Date"). The remaining installments vest on an annual basis on the anniversary of the Effective Date.
