Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 5, 2016, Advanced Drainage Systems, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original Form 8-K”) reporting that the Company’s Board of Directors (the “Board”) had appointed Carl A. Nelson, Jr. as a Class I director, effective as of August 4, 2016. At the time of filing the Original Form 8-K, Board committee assignments for Mr. Nelson had not yet been determined.

On November 8, 2016, the Board appointed Mr. Nelson as a member of the Compensation and Management Development Committee, effective as of that date.
