This Amendment No. 7 is being
filed by Nokia with respect to Alcatel Lucent Securities, and it hereby amends the statement of beneficial ownership on Schedule 13D originally filed on January 26, 2016, as amended on February 10, 2016, March 17, 2016, May 10, 2016, May 17, 2016,
June 17, 2016 and September 6, 2016 (collectively with this Amendment No. 7, the Schedule 13D). Capitalized terms used herein and not defined have the meanings given to them in the Schedule 13D.

Source and Amount of Funds or Other Consideration

Item 3 is hereby amended and supplemented by adding
the following:
The maximum cash outlay for the acquisition of all the Alcatel Lucent Securities targeted by the Offer (as defined below), on the
basis of the Offer price of 3.50 euros per Alcatel Lucent Share, 4.51 euros per 2019 OCEANE and 4.50 euros per 2020 OCEANE, will be 633 282 953.71 euros (excluding the related costs and expenses).
The Offer will be fully financed by Nokias own funds.

Purpose of Transaction
|
Item 4 is hereby amended and supplemented by adding the following:
On September 20, 2016, Nokia announced that the AMF approved the Offer. As previously announced, Nokia proposes to acquire, through the Public Buy-Out
Offer, all the Alcatel Lucent Shares, 2019 OCEANEs and 2020 OCEANEs it does not already own. The Public Buy-Out Offer will be followed by the Squeeze-Out of the Alcatel Lucent Shares and OCEANEs not tendered into the Public Buy-Out Offer, in
accordance with the General Regulation of the AMF.
In the Public Buy-Out Offer, Nokia is offering a consideration of EUR 3.50 per Alcatel Lucent Share,
EUR 4.51 per 2019 OCEANE, and EUR 4.50 per 2020 OCEANE. In the Squeeze-Out, the Alcatel Lucent Shares and OCEANEs not tendered into the Public Buy-Out Offer will be transferred to Nokia for the same consideration as the above-mentioned consideration
of the Public-Buy-Out Offer.
The Offer will be made exclusively in France, and in the United States pursuant to an exemption from the U.S. tender offer
rules provided by Rule 14d-1(c) and, to the extent applicable, Rule 13e-4(h)(8) of the U.S. Securities Exchange Act of 1934. Holders of Alcatel-Lucent Shares and OCEANEs located outside of France and the United States may not participate in the
Public Buy-Out Offer except if, pursuant to the local laws and regulations applicable to those holders, they are permitted to do so.
Following the
clearance decision of the Offer by the AMF on September 20, 2016, Nokia announced on September 22, 2016 that it has commenced the Public Buy-Out Offer.
The Public Buy-Out Offer will be open for 10 trading days, from September 22, 2016 until October 5, 2016, and the Squeeze-Out will be implemented on October
6, 2016. These dates were confirmed on September 21, 2016 by the AMF in its notice of opening and timetable of the Offer, after Nokia and Alcatel Lucent had filed their respective other information documents relating, in particular, to
their legal, financial and accounting characteristics.
The forgoing description of the joint offer document, the Nokia other information
document and the Alcatel Lucent other information document are summaries and are qualified in their entirety by the terms of the joint offer document, the Nokia other information document and the Alcatel Lucent other
information, copies of which are filed herewith as Exhibits 12, 13 and 14, respectively, to this Amendment No. 7 and are incorporated herein by reference.
