Boston Carriers, Inc. becomes a
Foreign Private Issuer.
On June 30, 2016, which was the last
business day of the registrant’s second quarter, Boston Carriers, Inc. (the “
Company
”), determined that
it would qualify as a Foreign Private Issuer, as that term is defined in Rule 3b-4(c) under the Securities Exchange Act of 1934,
as amended, beginning on July 1, 2016. As a result, the Company will no longer file annual reports on Form 10-K, quarterly reports
on Form 10-Q or current reports on Form 8-K. Instead, it will file its annual report on Form 20-F and reports of foreign private
issuers on Form 6-K.
The Company files reports on Form 6-K
with the US Securities and Exchange Commission (the “
SEC
”) pursuant to the requirements of the Securities Exchange
Act of 1934, as amended. The SEC reports of the Company are available to the public over the internet at the SEC’s website
at www.sec.gov and from the SEC’s Public Reference Room at 100 F Street, N.E., Washington, D.C. 20549 (telephone 1-800-SEC-0330).
