Item 8.01. Other Events.
On May 11, 2016, Real Goods Solar, Inc.
(the “Company”) was advised by the staff of the United States Securities and Exchange Commission (the “Staff”)
that the Staff did not intend to recommend any enforcement action against the Company with respect to the investigation commenced
by the Staff in June 2015.
The Company previously reported the commencement
of the Staff investigation on Form 8-K filed with the Securities and Exchange Commission on June 29, 2015. The Staff’s investigation
concerned the conduct of the Company’s July 2014 private placement.
