First day of any volume in years.

Still following this one, quite a few shares held at DTC now and quite a bit of convertible debt as well.....but it still never trades, nor is there ever any shares on the ASK :shrugs: Don't recall ever seeing a ticker with 3M+ shares held at DTC but never trades.

Some kind of LOI for an acquisition in the most 10Q filing that could happen here soon, though there was never an 8K about it.

NOTE 4 – DEFERRED BUSINESS ACQUISITION COST

On November 14, 2023, the Company agreed to acquire a marketplace provider in the spirits industry, a non-affiliated corporation based in Wyoming, under which the Company will issue, on a pro-rata basis, up to 12,550,000 shares of common stock based on the acquiree’s reaching future milestones in exchange for 100% of the issued and outstanding shares of the acquiree making it a wholly owned subsidiary of the Company. The shares will remain in escrow with the Company until those milestones.

20M shares recently issued for an acquisition, however, 36M is being cancelled, so that should leave an o/s of 23M.

In accordance with ASC 855-10, the Company has analyzed its operations subsequent to the December 31, 2022 to the date these financial statements were issued and has determined that it has the following material subsequent events:

On December 29, 2022, the Company entered into a software license agreement with Noise Comms Ltd. for the acquisition of Unified Communications Platform which enables multi-party communications between brands and consumers in consideration of 20,000,000 shares of common stock and 100 preferred A shares. For the last six years, the director and COO of the Company has been operating Noise Comms Ltd and is the sole shareholder, COO and director. As of December 31, 2022, the transaction was not closed, and the ownership control of the software has not been transferred. On January 9, 2023, the Company issued 20,000,000 shares of common stock to Noise Comms Ltd. As at the date of this filing, 100 preferred A shares have not been issued.

On December 31, 2022, the Company entered into a board resolution with the director and CEO of the Company for the cancellation of 36,865,000 shares of common stock. As at the date of this filing, the cancellation of the common stock transaction has not been completed.

8K out, after 6 months, finally an explanation of what happened with that 32M share issuance, looks like its been resolved now.

No clue what's going on with this one anymore, according to a NVSOS update yesterday, looks like Christopher McEachnie has been replaced by Meriesha Rennalls as president.

They should file an 8K here shortly, however, they should have filed one when the 32M shares was issued as well, as that was a material event...so who knows.

Also, this will be going to the Expert Market here shortly as well, unless they get their filing up to speed quickly.

Change of control, Christopher McEachnie new owner/President of the shell. Though OTC Markets shows around 32M shares issued recently, up from the original 7.7M, which would seem to indicate a merger actually took place, not just a change of control, odd but I guess more info will come soon.

Could be wrong but if I'm speculating this would seem to be the most logical incoming company, Umiie World Inc.
