Apparently there has been some confusion over hundreds of millions of newly issued PAIV securities that were intended to be restricted, yet were sold Friday and Monday by the recipients. Issued to former JPHC shareholders as part of a merger/tender offer, widespread selling of the shares caused PAIV to drop 90% to 0.0011 last Friday on heavy volume of 645,915,747 shares. The stock rebounded a bit Monday, reaching a high of 0.0027 on volume of 920,928,086.
The question is whether those who sold restricted PAIV securities will now be required to buy them back on the open market. Yesterday, Paivis released news after the bell in an attempt to clarify the situation. Clearly, something is amiss as Pavis and the DTC have confirmed that no allocation of any Merger Shares has taken place - yet PAIV shares began appearing in JPHC shareholders accounts early last week. According to several online brokers, the new shares did not bear the restricted legend, and thus were eligible for trade. InfinitiStocks will be keeping an eye on PAIV today and will report new developments as they happen.

WOW it just doesn't get any better than this!!

Sorry, no time or energy to find you the link...it was a topic that had alot of discussion on the PAVC board, and quite a few people should have the exact info you require...but, I do know that only a portion of restricted can be sold after 1 year and the rest after 2 years...and they are going to make you jump thru hoops to sell those restricted shares, if they have any value at that time and are worth selling at all....good luck

Where did you find that info about the terms of the restriction of the shares (1 year for a portion of the shares and the rest can be sold after 2). Could you supply me with a link where it describes this?I have never heard that.I do agree that getting the shares are a pain but I will not let my broker or the DTC off the hook. I will call or send emails daily until this gets done.

shares are restricted for 1 year and 2.....you can only sell a portion after 1 year, the rest after 2...and you will have to jump thru many, many, many hoops with some expense as well to actually sell, if they are sellable at that time......

But before worrying about that, first you have to get your shares <g>

How can they implement a reverse split on shares that are not even registered with the SEC and are still not now. I was told that all my shares will be converted at a rate of .4632 per share which means the total amount of JPHC shares is multiplied by .4632 and that is the amount of PAVC shares you have.I have Fidelity and they finally sent the info to the DTC after many phone calls, that they required and hopefully they will be in my account soon.The shares will be restricted for 1 year AFTER I recieve them IMO. I was told by the DTC that some have recieved their shares already however it's your brokers that are essentially holding this up by their noncompliance with the procedures that the DTC dictates. They are stonewalling this for reasons unknown but it appears that simply they just DO NOT CARE and it's the investors ,once again, that get screwed but this time it's by the one's we pay to help us.So call them again and again and again until you get results .

I got an email from my broker that for every share of JPHC I own I would receive about .46 shares of PAIV. Is that correct? Is that how it's gonna work? Where can I find out more information about the details on this? TIA

Will the JPHC shares that are supposed to be converted to Paiv be r/s also? I cant understand why they did a R?S in two months of trading.

Will these shares automaticlly convert to paiv soon?? I have my letter from JPHC but it says it should be sent in to paiv but if i look in gainskeeper on scottrade account it has converted shares already but can't sell yet??

Thank you Madmax... I was right with my conversion and I am beside myself right now. In another forum I read that due to the screw up with ameritrade, they have to buy back all of the shares they "accidentally" let loose which, in a nutshell, could drive the price of this up over $1.00 by the time our shares become unrestricted. Be glad you cannot move these shares, as they have a potential to make us all, a lot of money.

I don't have the slightest idea what they'll be...

Look in your Scottrade gainskeeper..it'll show you exactly how many PAIV shares you have with the conversion....just go to my account and then click on gainskeeper on the left side...I only wish I could sell them....lol...

madmax... What did scottrade have to say about how many certificates we were getting and when we can expect them. Now correct me if Im wrong, but the conversion of shares went like this: I have 950240 shares of JPHC which convert at a rate of 0.46232085/to 1 equalling 439315 shares of PAIV at an exchange rate of 0.005 cents a share. 439315 x 0.005= $2196.58. And at what they closed at today they would be worth 439315 x .072= $31465.66. If I am wrong about this may somebody correct me so I dont get my hopes up.

Scottrade called me today to let me know that I would be getting my certificates in the next couple of weeks...With a charge of $25 for each certificate...

If my math is correct that should give you 601,016 shares.

PAIV closed at 0.0435 today up 128%.


Too bad we can't sell them!!

Fellow JPHC shareholders, if I had 1,300,000 shares of JPHC and the conversion rate is .426, would that mean I will have 553,800 shares of PAIV? Still not showing in my Schwab account, just wanted to check my math.

JPHC converted to PAIV on May 19th ( restricted ). JPHC share no long exist.

Analysis of kermit. He sold about 10mn, maybe more of paiv. For .002 (likely less). That would have been about $20000, which he took out of his account. It's now at .007, those 10mn are shorted and he owes $50000.

Ameritrade forces people to buy back, which would send this sky high ( although that action might bring on a halt as every investor will be contacting the sec about being FORCED to buy back)

Or sellers come out in droves and they drop this back to .001

It is certainly a mess.....and you could get that 3 or 4 bagger, you could get a 10 - 20 bagger or ytou could get nothing...

Frankly, I am glad I got in and out quickly for very nice profits..it may shoot to .05 for all I know, but I am not willing to risk a 7 - 10 bagger getting halted, by letting greed set in thinking I want more.....

I just have no clue how this will all play out..it is a helluva mess.....with that in mind, I have no problem taking my 7 - 10 bagger and running..if it goes to .05, I'll be happy for those that held, but will not look back and second guess my decision to sell for a quick 7 - 10 bagger.....Best of luck, Keith
