  Interest linked to a Selection of Shares under the Euro12,000,000,000 Euro Note
                                   Programme.





                           Re: Notice to Noteholders



Irish Life and Permanent plc (the "Issuer") hereby gives notice that it has
agreed with the holders of the notes that the Applicable Final Terms relating to
the Notes shall be amended as follows:



As and from 6 April 2006, Share 11 of the Selection, being Delphi Corp., shall
be removed from the Selection and substitutes as and from that date by the
following Share:

Relevant Stock Exchange: Euronext Paris SA

Inter-Bank Offered Rate Euribor

Security Type: Commin stock

The substitution of the above Share shall be conducted in accordance with the
following formula:



CAn* = (Delphi (Z) / Delphi (0) x (Valeo (0)/Valeo (Z))



Where:



(Z): means the substitution date for the Valeo Share

Delphi (Z): means the closing price of the Delphi Share on such date (Z).

Valeo (Z): means the closing price of the Valeo Share on such date (Z).

Delphi (0): means the closing price of the Delphi Share on the Initial
Determination Date.

Valeo (0): means the closing price of the Valeo Share on the Initial
Determination Date.



The substituted Share shall be included in the Selection with the strike price
determined in accordance with the following formula:



(Delphi (0) / Delphi (Z))x Valeo (Z).



The Applicable Final Terms shall remain in force and effect in all other
respects.
