Vista Outdoor family,

As we communicated last week, we received an unsolicited indication of interest from MNC Capital to acquire Vista Outdoor for $35.00 per share in cash. Consistent with its fiduciary duties, our Board carefully evaluated the indication of interest with the assistance of an experienced team of financial and legal advisors to determine the best course of action.

Following its review, the Board determined that the transaction contemplated by MNC Capital’s indication of interest is an inferior path to the one we’re on by selling The Kinetic Group to CSG, and is not in the best interest of our stockholders.  In particular, the MNC Capital indication of interest significantly undervalues Revelyst, which we expect to double adjusted EBITDA in FY25, boost profitability and improve overall performance, leaving the company well positioned to achieve adjusted EBITDA margins in the mid-teens in the long term.  MNC Capital’s indication also does not recognize the benefits of separating our businesses in terms of capital allocation strategies, consumer segmentation and talent acquisition, retention and overall management.

We are also excited for the benefits the CSG transaction will bring to our brands and employees in The Kinetic Group.  CSG is a strategic, long-term owner that is fully committed to our iconic American brands, our hunting and recreational shooting heritage and supporting our American and allied law enforcement and military partners.  They are a highly successful global company with experience in our industry, making them uniquely positioned to create and enhance American jobs by expanding our domestic production capabilities and global distribution network.  We are excited for the opportunities the CSG transaction will bring to the company and its employees.

We have been actively engaged with the Committee on Foreign Investment in the United States (“CFIUS”) and our team is working with CFIUS to obtain its clearance. As previously stated, we remain confident in our ability to receive all necessary regulatory approvals, including with respect to CFIUS, and to satisfy all closing conditions.
As such, we continue to believe that our previously announced separation and subsequent sale of The Kinetic Group to CSG are in the best interest of our company, and today we issued a press release  announcing that our Board has rejected the unsolicited indication of interest from MNC Capital.

We want to emphasize that we are operating as usual. This development has no impact on our business, and nothing has changed in terms of our business objectives. The best thing we can all do is stay focused on our day-to-day responsibilities even as other outside interests attempt to change the course that we’re on. We are counting on each of you to continue serving our customers as you always have.

The entire leadership team is unwavering in our commitment to serve all Vista Outdoor stakeholders. We have seen the passion that our team has for our products and customers and believe this will fuel our success as we embark towards the next phase of our company.
