Explanation of Responses:
(1)	Restricted stock units were granted to the reporting person pursuant to The Taubman Company LLC 2018 Omnibus Long-Term Incentive Plan. Each restricted stock unit represents a contingent right to receive upon vesting one share of the Company's common stock and an amount equal to the cash value of the dividends that would have been paid to the reporting person if one share of common stock had been issued on the grant date for each restricted stock unit granted to the reporting person under this award.
(2)	The restricted stock units vest on March 1, 2023.
