Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 2, 2023, Gregory A. Sigrist, Executive Vice President and Chief Financial Officer (“CFO”) of Metropolitan Holding Corp. (the “Company”), the holding company for Metropolitan Commercial Bank (the “Bank”), informed the Company that he intends to resign from his roles at the Company and the Bank, to be effective October 31, 2023 (the “Resignation Date”). Mr. Sigrist is expected to remain with the Company through the Resignation Date to assist in the transition of his responsibilities. Mr. Sigrist’s resignation from the Company and the Bank was for personal reasons and is not a result of any disagreement with the Company or the Bank on any matter relating to the operations, policies or practices of the Company or the Bank.

The Company has commenced a search for qualified candidates for the CFO position.
