Item 5.07 Submission of Matters to a Vote of Security Holders.
On July 15, 2022, the Company held a special meeting of the stockholders (the “
Special Meeting
”) for the purpose of acting on the following three proposals properly brought before the meeting:

(1) |
to approve the issuance of the Company’s shares of class A common stock, $0.01 par value per share (“ Common Stock ”), in connection with the merger (the “ Merger ”), pursuant to the Agreement and Plan of Merger, dated as of February 28, 2022, among Healthcare Trust of America, Inc., Healthcare Trust of America Holdings, LP, Healthcare Realty Trust Incorporated, and HR Acquisition 2, LLC (the “ Company Issuance Proposal ”); |
|
(2) |
to approve, in a non-binding advisory vote, the “golden parachute” compensation that may become vested and payable to the Company’s named executive officers in connection with the Merger (the “ Company Golden Parachute Proposal ”); and |
|
(3) |
to approve one or more adjournments of the Special Meeting to another date, time, place, or format, if necessary or appropriate, including to solicit additional proxies in favor of the proposal to approve the issuance of shares of Common Stock in connection with the Merger (the “ Company Adjournment Proposal ”). |
