Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective June 30, 2023, Dr. John B. Clark resigned as a director of Ethan Allen Interiors Inc. (“Ethan Allen” or the “Company”). Dr. Clark’s resignation from the Company’s Board of Directors, including as Chair of the Corporate Governance, Nominations and Sustainability Committee, and as a member of the Audit Committee, did not result from any dispute or disagreement with the Company.
