DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

(b) On June 18, 2024, The Bank of New York Mellon Corporation (the “Company”) announced that Leigh-Ann Russell will join the Company as Chief Information Officer and Global Head of Engineering with an expected effective start date of September 15, 2024. Ms. Russell will succeed Bridget Engle, Senior Executive Vice President, Chief Information Officer and Global Head of Engineering and a named executive officer of the Company. On June 12, 2024, the Company determined the terms of Ms. Engle’s departure consistent with the Company’s applicable policies.
