Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On February 1, 2024, SEI Investments Company (the “Company”) notified The Nasdaq Stock Market LLC (“Nasdaq”), pursuant to Nasdaq Listing Rule 5625, that the Company had not amended its policy governing the recovery of erroneously awarded compensation to conform to the specific requirements of Nasdaq Listing Rule 5608 by December 1, 2023, as required by Nasdaq Listing Rule 5608. The Company has now amended and restated its policy to comply with Nasdaq Listing Rule 5608, and will provide the disclosures required by Nasdaq Listing Rule 5608 and in the applicable filings with the Securities and Exchange Commission.
