Item. 1.01. Entry into a Material Definitive Agreement

On August 29, 2023, Middlesex Water Company (the Company) entered into a Settlement Agreement (Agreement) regarding its previously reported litigation with the 3M Company. The terms of the Agreement are confidential at this time. As a utility regulated by the New Jersey Board of Public Utilities, it is the Company’s intent that any financial benefit which may result from this Agreement will ultimately inure to the benefit of the Company’s customers in the form of mitigating future customer rates for service and therefore, is not expected to have a material effect on the Company’s net assets or results of operations.
