Item 8.01 Other Events.

On July 6, 2010, Impax Laboratories, Inc. and Wells Fargo Bank, National Association (successor by merger to Wachovia Bank, National Association) entered into, effective as of June 30, 2010, a Fifth Amendment to Amended and Restated Loan and Security Agreement, dated as of December 15, 2005, as amended, which extended the termination date of the agreement from June 30, 2010 to September 30, 2010.
