Disclosure.

On June
18, 2009, Ceradyne, Inc. issued a press release announcing receipt of an $8.3
million delivery order from the U.S. Marine Corps, Quantico, Virginia. This
order is for Enhanced Small Arms Protective Inserts (ESAPI). The delivery order
is against a larger Indefinite Delivery/Indefinite Quantity (ID/IQ) contract
previously announced. A copy of this press release is being furnished as Exhibit
99.1 to this Current Report on Form 8-K.
In
