Item 8.01 Other Events.
On January 29, 2010, American
Railcar Industries, Inc. (“ARI” or the “Company”)
purchased certain assets from ACF Industries, LLC (ACF) for approximately $0.9 million that will
allow the Company to manufacture railcar components previously purchased from
ACF.
The purchase price of approximately
$0.9 million was determined using various factors, including but not
limited to, independent appraisals that assessed fair market value for the
purchased assets, each asset’s remaining useful life and the replacement
cost of each asset.
ACF is controlled by Carl C. Icahn, the
Company’s principal beneficial stockholder and the chairman of the
Company’s board of directors. The purchase was the product of arm’s
length negotiations and was unanimously approved by the independent directors
of the Company’s board of directors.
