Dear fellow employees,
 
Last evening we announced the beginning of a new chapter for AMAC.  Yesterday our board approved and we signed what’s known as an “agreement and plan of merger,” in which AMAC will be acquired by Tunstall Healthcare Group Ltd.
 
While headlines such as “Tunstall acquires American Medical Alert Corp.” are legally and technically correct, they don't properly convey the spirit of this transaction. We believe joining forces with Tunstall means good things for all of us. It gives our company access to new resources and technologies that will create an extremely compelling offering and a stronger position in the marketplace. One of the great things about Tunstall is that they share a similar vision of “helping people live better lives.” Alignment of this fundamental principle is hard to find in a partner or investor, and I feel fortunate that both organizations share this same vision.
 
Being part of the Tunstall group will support us in continuing to grow our business lines as an independent entity. They recognize the value of our vision, our people, and our products and services.  This will help us to communicate to our customers that we are still the same organization trusted to deliver vital health communication services.
 
We signed the "merger agreement" yesterday, but we still need to go through the process of getting shareholder approval and US governmental review, so we are anticipating that this transaction actually won't officially close until the end of the fourth quarter of 2011. We ask that you not speak with anyone outside of AMAC with respect to the transaction prior to the closing.  If you get any questions related to the transaction from anyone prior to the closing, including customers, suppliers or the media, please refer them to management and have them email monitor@amac.com ,  which is a special email account that management will be monitoring.
 
I know this news is unexpected and may be somewhat unsettling, but I am confident that this new company will create significant benefits for you and all our customers. I ask you to join me in embracing this new opportunity.

Q: Will I still have a job?
 
We plan to continue to run AMAC as an independent entity. In legal terms, AMAC will be a "wholly-owned affiliate" of Tunstall. Your role continues as it did a month ago.
 
Q: Will our benefits change?
 
No, we are not planning on making any changes (outside of the normal course of business) to our benefit packages.
 
Q: What happens to my old stock options?
 
All employees must surrender any stock options that they currently hold.  These will be exchanged for the difference of the strike price and the offer price.  These proceeds will be paid in cash shortly after closing the acquisition.

Tunstall Healthcare Group Limited to acquire   AMAC,
American Medical Alert Corp.

Long Island City, NY. 22 September 2011: American Medical Alert Corp (Nasdaq: AMAC), a leading provider of remote health monitoring and 24/7 communication services that enhances care, accelerates response times, improves operational effectiveness and delivers sustainable patient services, has announced today that it has entered into a definitive agreement to be acquired by Tunstall Healthcare Group Limited, a leading telehealth and telecare provider. Tunstall will acquire all of the outstanding common shares of AMAC for $8.55 per share in cash without interest, representing a premium of approximately 50% over AMAC’s closing share price on September 22, 2011, plus one Contingent Payment Right (CPR) per share providing a contingent cash payment for the holder of such common share in the event of a sale of AMAC’s interests in the Lifecomm joint venture or prior sale of Tunstall under certain conditions.  The transaction is expected to close at the end of the fourth quarter of 2011.

Based in New York, AMAC has two business divisions. The first is Health and Safety Monitoring Systems (HSMS) which includes a rich portfolio of remote patient monitoring devices and services including personal emergency response systems (PERS), mobile PERS, medication management and telehealth. The second division is Telephony Based Communication Services (TBCS), AMAC’s contact center services group, which provides concierge level communication services to all types of healthcare entities, including physician groups, hospitals, homecare and the pharmaceutical industry.

AMAC’s board of directors unanimously approved the transaction, which is subject to customary closing conditions, including approval of AMAC’s shareholders, but is not subject to any financing conditions and has the full support of Tunstall’s majority shareholder.  In conjunction with the acquisition, directors and officers of AMAC, holding approximately 26% of the outstanding common shares of AMAC, have agreed to vote in favor of the transaction.

A special meeting of AMAC’s shareholders will be held after the preparation and filing of a proxy statement with the Securities and Exchange Commission and subsequent mailing to shareholders.  Upon completion of the acquisition, AMAC will become a private company wholly owned by an affiliate of Tunstall.
