Hungarian Telephone and Cable Corp. (AMEX:HTC) today announced that its annual meeting of stockholders will be held on May 24, 2007 in New York. As of the April 5, 2007 record date Hungarian Telephone had 15,453,872 shares of its common stock outstanding. Hungarian Telephone�s majority stockholder TDC A/S owns 10,499,782 of the 15,453,872 outstanding shares. On a fully diluted basis, Hungarian Telephone has 16,343,872 shares outstanding. This includes options to purchase 590,000 shares of common stock and 30,000 shares of Hungarian Telephone�s preferred stock which are held by TDC and convertible into 300,000 shares of common stock. In addition, Hungarian Telephone has announced an agreement to acquire Invitel, one of Hungarian Telephone�s main competitors, which acquisition is expected to close during the second quarter of 2007. As part of the consideration for the Invitel acquisition, Hungarian Telephone is required to issue up to 1.1 million shares of its common stock to the management team of Invitel.
