Hungarian Telephone and Cable Corp. (AMEX:HTC) today announced that its Board of Directors has elected Ole Steen Andersen as a director of Hungarian Telephone and Cable Corp.'s Board of Directors to fill the vacancy created by the recent resignation of William E. Starkey. Mr. Andersen will also serve on Hungarian Telephone's Audit Committee. Mr. Andersen, a Danish citizen, is the Chief Financial Officer and a member of the Executive Committee of Danfoss A/S. Danfoss, based in Denmark, is a privately held global company with approximately 18,000 employees. Danfoss is a leader in the development and production of mechanical and electronic products and controls used to heat and cool homes and offices, refrigerate food and control production lines. Mr. Andersen, 60 years old, has been with Danfoss since 1994 and its Chief Financial Officer since 2000. Mr. Andersen serves on several other boards. He is the Chairman of the Board of Directors of COWI A/S, a Denmark-based privately held company providing consulting services globally in the fields of engineering, environmental science and economics. Mr. Andersen is also on the Board of Directors of Auriga Industries A/S, a global chemicals company, and Pharmexa A/S, a global biotechnology company. Auriga and Pharmexa are both based in Denmark and are traded on the Copenhagen Stock Exchange. Mr. Andersen also serves as a director of Sauer-Danfoss Inc., a New York Stock Exchange listed company (NYSE:SHS), which is a worldwide leader in the design, manufacture and sale of engineered hydraulic, electric and electronic systems and components, for use primarily in applications of mobile equipment. Commenting on the election of Mr. Andersen to Hungarian Telephone's Board of Directors, Kim Frimer, the Chairman of Hungarian Telephone's Board of Directors said, "We are delighted with the addition of Ole Steen Andersen to Hungarian Telephone's Board of Directors. His financial expertise and board experience on numerous companies, including public companies, will be a valuable addition to the Board." Hungarian Telephone also announced that William T. McGann will step down as Chief Financial Officer at the end of 2006. Hungarian Telephone has begun a search for a new Chief Financial Officer.
