In connection with its previously announced acquisition of American Casino & Entertainment Properties, LLC, a Delaware limited liability company
(American), Golden Entertainment, Inc. (Golden or the Company) has commenced the syndication of (i) a senior secured first lien credit facility in an aggregate principal amount of $900 million comprised
of (a) a term loan facility of $800 million and (b) a revolving credit facility of $100 million and (ii) a senior secured second lien credit facility in an aggregate principal amount of $200 million. In connection with
its syndication efforts, the Company will make available to potential lenders certain financial statements and other financial information furnished by American, which are attached as Exhibits 99.1, 99.2 and 99.3 to this Current Report on Form
8-K
(collectively, the American Financial Reports).
By furnishing this Current Report on Form

and its exhibits, the Company makes no admission as to the materiality of any such information that is required to be disclosed solely by reason of Regulation FD.
