The Board of Directors recommends you vote FOR the following nominees: 1. Election of Directors a. William T. Fox III 5. To approve the First Amendment to the Cloud Peak Energy Inc. 2009 Long Term Incentive Plan (as amended and restated effective March 3, 2017) (the “Amended LTIP”) to increase the number of shares authorized for issuance thereunder and extend the term. b. Robert Skaggs The Board of Directors recommends you vote FOR proposals 2, 3, 5, 6 and 7, and select CHOICE 1 - EVERY YEAR for proposal 4. 6. To re-approve the material terms of the Amended LTIP, as amended by the First Amendment, in accordance with the stockholder approval requirements of Section 162(m) of the Internal Revenue Code. 2. To ratify the appointment of PricewaterhouseCoopers LLP as our independent registered public accounting firm for the 2017 fiscal year. 3.
